1. Definitions

"Service" or "Services": The platform, features, and content available at cleverprep.ai, provided by Cleverprep, Inc.
"User," "you," "your": Any individual or entity using the Service.
"Creator": A User on a subscription plan that allows for the creation and publication of courses.
"Student": A User who accesses a course, typically via an access code provided by a Creator.
"User-Generated Content" (UGC): Any content, including text, videos, images, and AI Prompts, that you create, upload, or generate on the Service.
"AI Credits": The units consumed when using AI-powered features of the Service.
"Marketplace": The feature on the Service where Creators can list courses for sale to other Users.

2. Acceptance of Terms & Eligibility

By using our Services, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. You must be at least 16 years old to use the Services.

3. Accounts, Subscriptions, and Payments

Account Security: You are responsible for safeguarding your password and for all activities that occur under your account.
Billing: Paid plans are billed on a recurring monthly basis through our payment processor, Stripe.
No Refunds on Subscriptions: As detailed in our Refund Policy, all subscription fees are non-refundable.

4. User-Generated Content (UGC)

Ownership: You retain all ownership rights to your UGC.
License to Us: To operate the Service, you grant Cleverprep a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your UGC solely for the purpose of providing the Services to you and your authorized Students.
Your Responsibility: You are solely responsible for your UGC and must ensure it does not violate any laws or third-party rights (e.g., copyright).

5. Use of Artificial Intelligence (AI) Tools

User Responsibility: The Service uses AI to help generate content. AI-generated content may contain inaccuracies or errors. You are solely responsible for reviewing, editing, and validating all content produced by the AI before publishing or using it.
No Liability: Cleverprep, Inc. accepts no liability or responsibility for any UGC created with our AI tools. You use these features at your own risk.

6. Prohibited Conduct

While using the Service, you agree not to:

Use the Service for any illegal purpose.
Infringe on the intellectual property rights of others.
Post false, misleading, defamatory, or obscene content.
Distribute spam, viruses, or other malicious software.
Attempt to reverse engineer any part of the Service.
Circumvent our fee structure or manipulate billing.

7. The Cleverprep Marketplace

For Creators: You may list courses for sale if your plan allows. You are responsible for your course content and for complying with all applicable laws. Cleverprep will charge a transaction fee on each sale as described in your plan.
For Buyers: A course purchase grants you a one-year, non-transferable license to access the course for personal use. Purchases are subject to our Refund Policy.

8. Intellectual Property

All rights to the Service itself (our platform, branding, code) are the exclusive property of Cleverprep, Inc.

9. Termination

You may terminate your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms.

10. Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS." CLEVERPREP, INC. DISCLAIMS ALL WARRANTIES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Cleverprep, Inc. from any claims, damages, or expenses (including legal fees) arising from your violation of these Terms or your use of the Service, including from your UGC.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware. All claims arising from these Terms or the Services will be litigated exclusively in the state or federal courts located in Delaware.
